Terms of Service

1. Introduction and Acceptance

Welcome to Voxoap ("we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of the Voxoap websites, applications, and related services (collectively, the "Service"). The Service helps you create and manage administrative session documentation, including voice-driven workflows where you review and approve outputs.

By accessing or using the Service, you agree to these Terms. If you disagree, do not use the Service.

2. Eligibility

You must be at least 16 years old to use the Service. By using it, you represent that you meet this requirement and have authority to agree to these Terms.

3. Service Description

The Service may include, depending on what we offer in your environment:

• Recording or uploading audio and converting it into text or structured drafts
• Editing, organizing, and storing notes and related session information you choose to save
• Sync across devices, offline or queued behavior, and account management features
• Other tools we describe in the product or on the website

The Service is provided on a best-effort basis. We do not guarantee uninterrupted access or specific uptime unless we agree otherwise in a separate written agreement.

4. Accounts

You may need an account. You are responsible for safeguarding credentials and for all activity under your account. Notify us promptly at contact@voxoap.com if you suspect unauthorized access.

5. Fees and Payment

Some features may be free and others may be paid. If we charge fees, we will present pricing and payment terms before you incur charges, except where your platform store terms apply (for example an app marketplace). Taxes may apply. If we offer subscriptions, renewal and cancellation work as shown at purchase and in account settings.

6. Acceptable Use

You agree to use the Service lawfully and in line with these Terms. You agree not to:

• Violate applicable law or third-party rights
• Attempt to probe, scan, or test the vulnerability of the Service without permission
• Interfere with or disrupt the Service or others' use of it
• Misuse AI outputs to generate unlawful, harassing, or harmful content
• Reverse engineer or attempt to extract source code except where permitted by law
• Use the Service to build a competing service through scraping or automated bulk access without consent

7. Your Content and License to Us

You retain rights to content you submit. You grant us a worldwide, non-exclusive license to host, process, transmit, and display your content solely to provide and improve the Service, enforce security, and comply with law. This includes processing audio and text through our systems and subprocessors described in our Privacy Policy.

8. Intellectual Property

The Service, including software, branding, and documentation, is owned by us or our licensors. Except for the limited rights to use the Service under these Terms, we reserve all rights.

9. Disclaimers; Not Medical or Clinical Advice

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE AND OUR AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE OR ANY CONTENT, INCLUDING ANY DECISION YOU MAKE BASED ON NOTES OR AI OUTPUTS.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM, OR (B) ONE HUNDRED US DOLLARS (US $100), IF YOU HAVE NOT PAID US.

11. Indemnity

You will defend and indemnify us against claims and liabilities (including reasonable attorneys' fees) arising from your content, your use of the Service in violation of these Terms, or your violation of law or third-party rights.

12. Termination

You may stop using the Service at any time. We may suspend or terminate access if you violate these Terms, create risk or legal exposure, or we need to do so to comply with law. Provisions that by their nature should survive will survive termination.

13. Privacy

Our Privacy Policy explains how we collect and use personal information. By using the Service, you acknowledge that policy.

14. Changes to the Service and Terms

We may modify the Service or these Terms. We will post updated Terms and update the "Last Updated" date. For material changes, we may provide additional notice. If you continue to use the Service after changes take effect, you accept the updated Terms.

15. Governing Law and Disputes

These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-law rules, except where prohibited. You agree that courts in Wyoming have personal jurisdiction for disputes arising from these Terms, subject to mandatory consumer protections in your jurisdiction.

16. Miscellaneous

These Terms together with the Privacy Policy are the entire agreement between you and us regarding the Service. If a provision is unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver.
